Terms of Service

These Terms of Service ("Terms") govern your access to and use of huntlylabs.com (the "Website") and any related services, products, tools, features, content, or applications provided by Huntly Labs ("Huntly Labs," "Company," "we," "us," or "our") (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2) Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Service. By using the Service, you represent that you meet this requirement.

3) Accounts and Security

3.1 Account creation. To access certain features, you must create an account. You agree to provide accurate information and keep it updated.

3.2 Account security. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account (whether authorized or not). Notify us immediately at support@huntlylabs.com if you suspect unauthorized use.

3.3 Account actions. We may suspend or terminate accounts as described in Section 14.

4) Your Content

4.1 User Content. The Service may allow you to create, upload, submit, store, publish, display, or share content, data, text, images, files, links, or other materials ("User Content").

4.2 Ownership. As between you and Huntly Labs, you retain ownership of your User Content, subject to the license you grant us below.

4.3 License you grant to Huntly Labs. You grant Huntly Labs a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, cache, reproduce, process, adapt, modify (for formatting or technical compatibility), publish, display, perform, distribute, and make available your User Content solely to:

• operate, maintain, provide, and improve the Service
• troubleshoot, secure, and prevent abuse
• comply with legal obligations
• enforce these Terms

This license continues as long as your User Content remains on the Service and for a reasonable period after deletion for backups, logging, and compliance.

4.4 Your responsibilities and warranties. You represent and warrant that:

• you own or have all necessary rights and permissions to submit your User Content
• your User Content does not infringe or misappropriate third-party rights (including IP, privacy, or publicity rights)
• your User Content complies with applicable laws and these Terms

4.5 Removal. We may remove or restrict access to User Content at any time if we believe it violates these Terms, is harmful, or creates risk to the Service or others.

5) Feedback and Suggestions

If you submit feedback, ideas, feature requests, suggestions, or improvements ("Feedback"), you agree that:

• Feedback is provided voluntarily
• we may use, implement, commercialize, and exploit Feedback for any purpose
• we owe you no compensation, credit, or attribution
• you irrevocably assign to us any rights you may have in that Feedback, and to the extent assignment is not permitted by law, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use the Feedback for any purpose

6) Acceptable Use

You agree not to, and not to assist others to:

• violate any law or regulation
• transmit malware or attempt unauthorized access
• interfere with or disrupt the Service (including excessive automated requests), except where explicitly permitted by us in writing
• reverse engineer, decompile, or attempt to extract source code except where prohibited by law
• bypass access controls, rate limits, or security measures
• infringe others' rights or distribute unlawful content

We may investigate and take action, including suspension or termination.

7) Intellectual Property and Trademarks

7.1 Our IP. The Service and all related intellectual property rights (including software, UI, design, text, graphics, logos, and trademarks) are owned by or licensed to Huntly Labs.

7.2 No rights granted. Except as expressly permitted, nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property.

7.3 Trademark restrictions. Our content and trademarks are our exclusive property. You may not use our trademarks, logos, branding, or confusingly similar marks without our prior written consent.

8) Subscriptions, Billing, and Payments

8.1 Plans. Some features require a paid subscription ("Subscription"). Plan details and pricing are shown at purchase or within the Service.

8.2 Auto-renewal. Unless stated otherwise, Subscriptions automatically renew each billing period until canceled.

8.3 Payment processing. Payments are handled by third-party payment processors. You agree to the payment processor's terms.

8.4 Taxes. Prices may exclude taxes unless stated. You are responsible for applicable taxes, duties, or government charges.

8.5 Changes. We may change pricing or plan features. Where required, we will provide notice. Changes apply at renewal unless stated otherwise.

8.6 Cancellation. You can cancel through your account settings (if available) or by contacting support@huntlylabs.com. Cancellation typically takes effect at the end of the current billing period unless stated otherwise.

8.7 No refunds. Payments are non-refundable and we do not provide credits for partial periods, except where required by law or explicitly stated in writing by us.

8.8 Trials and promotions. Trials or discounts may convert to paid automatically unless canceled before the trial ends, as disclosed at sign-up.

9) Promotions

We may offer promotions, contests, sweepstakes, referral programs, or discounts ("Promotions"). Promotions may be governed by additional rules. If Promotion rules conflict with these Terms, the Promotion rules control for that Promotion. Promotions are void where prohibited.

10) Third-Party Services and Links

The Service may integrate or link to third-party services or content. We do not control and are not responsible for third-party offerings. Your use of third-party services is at your own risk and subject to their terms and privacy policies.

11) Disclaimers

11.1 As-is. The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

11.2 No warranties. To the maximum extent permitted by law, Huntly Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

11.3 No guarantees. We do not guarantee the Service will be uninterrupted, secure, error-free, or that defects will be corrected.

12) Limitation of Liability

To the maximum extent permitted by law:

12.1 No indirect damages. Huntly Labs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, business interruption, or substitute services, even if advised of the possibility.

12.2 Liability cap. Huntly Labs' total liability for any claim arising out of or related to the Service will not exceed the greater of:

• the amount you paid to Huntly Labs for the Service in the 12 months before the event giving rise to the claim, or
• USD $100

12.3 Basis of bargain. You agree these limitations are a fundamental basis of the agreement.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, liability is limited to the maximum extent permitted.

13) Indemnification

You agree to defend, indemnify, and hold harmless Huntly Labs and its affiliates, directors, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• your use of the Service
• your User Content
• your violation of these Terms or applicable law
• your infringement of third-party rights

14) Suspension and Termination

We may suspend or terminate your account or access at any time, with or without notice, for any reason, including if we believe you violated these Terms or create risk. Upon termination, your right to use the Service ends.

15) IP Complaints

If you believe content on the Service infringes your IP rights, contact support@huntlylabs.com with sufficient detail to locate the material and verify your claim. We may remove content and, where appropriate, terminate repeat infringers.

16) Governing Law and Arbitration (Binding)

16.1 Governing law. These Terms and any dispute arising out of or related to them or the Service are governed by the laws of Gibraltar, excluding its conflict-of-law rules, except where mandatory consumer protection laws apply.

16.2 Mandatory informal resolution. Before starting arbitration, you agree to contact us at support@huntlylabs.com and attempt to resolve the dispute informally for at least 30 days.

16.3 Binding arbitration. Except as described in Section 16.5 (carve-outs), any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration.

16.4 Arbitration rules, seat, language, arbitrator.

The arbitrator may award any relief that a court of competent jurisdiction could award, subject to the limitations in these Terms.

16.5 Carve-outs. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or to prevent unauthorized access or abuse of the Service, without waiving arbitration for other claims.

16.6 Class action waiver. To the maximum extent permitted by law, disputes must be brought in the parties' individual capacity only and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.

16.7 Jury trial waiver. You waive any right to a jury trial to the extent permitted by law.

17) Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. Continued use after changes means you accept them.
